ELIGIBILITY: The Ministry Brands Summit Sweepstakes (the “Sweepstakes”) is open only to legal U.S. residents currently residing in the United States, including its territories, who are 18 years old or the age of majority, whichever is older as of the date of entry. Employees, officers, and directors of Ministry Brands Holding LLC (“Sponsor”) or any of its parents, affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, web site providers, web masters, (collectively, the “Sweepstakes Entities”) and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household are not eligible to enter or win. Participation constitutes entrant's full and unconditional agreement to these Official Rules and to Sponsor's decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. Sponsor reserves the right to verify the eligibility of winners.

SWEEPSTAKES PERIOD: Begins at 9:00 am Eastern Time (“ET”) on 1/3/2024 and ends at 10:00am ET on 2/15/2024 (the “Sweepstakes Period”). The Sponsor's computer is the official time-keeping device for this Sweepstakes.

HOW TO ENTER: You may enter the Sweepstakes by registering for the Ministry Brands Summit (the “Summit”) during the Sweepstakes Period. Registration for the Summit is free. Register at https://www.ministrybrands.com/healthy-church-summit/ Registration requires you to provide name, email address, and church name. You will receive one (1) entry (“Entry”) into the Sweepstakes upon registration.

Limit one (1) Entry per person. Entries generated by script, macro or other automated or mechanical means or means which subvert the entry process will be void. If multiple Entries are received in excess of the above stated limitations, only the eligible Entries will be considered and additional Entries will be disqualified. Multiple participants are not permitted to share the same email address. Any attempt to obtain more than one (1) Entry or using multiple/different email addresses, identities, registrations or logins, or any other methods may void your Entries and you may be disqualified from the Sweepstakes. Any use of robotic, repetitive, automatic, programmed, or similar Entry methods or agents (including, but not limited to, sweepstakes entry services) will void all Entries by that entrant. In the event of a dispute as to any Entry, the authorized account holder of the social media account or email address used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. All Entries become the property of Sponsor and will not be acknowledged.

RANDOM DRAWING AND ODDS OF WINNING: Seven (7) Prize Winners will be selected in a random drawing from all eligible Entries received during the Sweepstakes Period on or about 2/15/2024. The odds of winning depend on the number of eligible Entries received during the Sweepstakes Period.

WINNER NOTIFICATION: Sponsor anticipates that the potential Prize Winners will be contacted either by phone or email. Each potential Prize Winner will be required to execute an affidavit or declaration of eligibility, and release of liability and publicity (where permitted by law), and return same, fully-executed, within seven (7) business days of date of issuance of prize notification. If a potential Prize Winner fails to return all requested forms fully-executed by the specified date, or if the potential Prize Winner fails to comply with these Official Rules, his/her determination as a potential Prize Winner will be forfeited at Sponsor's discretion, and an alternate Prize Winner may be selected. Three (3) alternate drawings will be held, after which any remaining prizes will remain un-awarded.

Total ARV of prize(s): $3554.00.

PRIZE TERMS: Except where prohibited by law, by accepting a prize, Prize Winner grants Sponsor and its designees the right to use and publish Prize Winner's name, likeness (photograph and/or videotaped/filmed image), statements regarding the Sweepstakes, biographical information (city and state of residence), and voice in commerce and in all media worldwide, including but not limited to the Internet and social media platforms, for advertising/publicity/trade purposes without time or territorial limitations and without additional compensation, notice or approval, and disclaims any ownership rights of such advertising/publicity/trade material. Sponsor reserves the right to conduct a background check on any potential Prize Winners (as defined below) and reserves the right in its sole discretion to disqualify any person based on such background check if Sponsor determines in its sole discretion that awarding the prize to such potential Prize Winner might reflect negatively on Sponsor or any of the participating parties. Any and all applicable federal, state, and local taxes and all fees and expenses related to acceptance and use of prize not specifically stated herein are the responsibility solely of winner. Prizes cannot be substituted, assigned, transferred, or redeemed for cash; however, Sponsor reserves the right to make equivalent prize substitutions at its sole discretion. Prizes cannot be used in conjunction with any other promotion or offer.

GENERAL CONDITIONS: By participating in the Sweepstakes, each entrant agrees to release, indemnify, defend and hold harmless the Sponsor, any other participating parties, vendor and service providers of Ministry Brands Holdings, LLC., and any other participating parties and each of their respective parent companies, subsidiaries, dealerships, and affiliates, and their advertising and promotion agencies and all local sponsors and all other participating parties involved in this Sweepstakes, and the officers, directors and employees of each of the foregoing (collectively, the “Released Parties”) from and against any and all claims and liability for any injuries, including without limitation personal injury, death, loss or damage of any kind, or claims based on right of publicity/right of privacy or defamation, arising from or in connection with participation in the Sweepstakes or the acceptance, possession, use and or misuse of any prize and/or participation in prize-related activities (if applicable).

OTHER CONDITIONS: By participating in the Sweepstakes, each entrant further agrees that the Released Parties are not responsible for: (a) electronic transmissions or Entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or not received by Sponsor for any reason; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of Entries, or for deletion, theft or destruction of, unauthorized access to, or alteration of, Entries; (c) failed or unavailable hardware, network or software, or defects in any tablet device; (d) causes beyond Sponsor's reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes; (e) incorrect or inaccurate Entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Sweepstakes; (f) any typographical or other error in any printing or advertising relating to the Sweepstakes, in the administration or execution of the Sweepstakes, or in the announcement of the prize winner; or (g) cheating or fraud by any participant. All incomplete or non-conforming Entries will be disqualified.

FORCE MAJEURE: If, for any reason, the Sweepstakes is not capable of running as planned, Sponsor may, in its sole discretion, void any suspect entries and (a) cancel or terminate the Sweepstakes (or any portion thereof); (b) modify the Sweepstakes or suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; and/or (c) award the Prizes at random from among the eligible, non-suspect entries received up to the time of the impairment.

DISPUTE RESOLUTION: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Tennessee or the appropriate State Court located in Knox County, Tennessee; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Tennessee without giving effect to any choice of law or conflict of law rules (whether of the State of Tennessee or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Tennessee.
